Our platform provides research tools and informational content. We do not provide personalized investment advice, manage customer assets, execute trades, act as a broker, or make investment decisions on your behalf.

You remain fully responsible for your own investment decisions.

2. Eligibility

You are responsible for ensuring that your use of our services complies with all applicable laws and regulations in your jurisdiction.

3. Investment Decisions and Risk Disclosure

All investment decisions are made solely by you.

Our algorithms generate signals based on historical market data, quantitative models, and predefined rules. These signals are provided for informational and educational purposes only and should not be considered personalized investment advice or a recommendation to buy, sell, or hold any security.

Investing involves risk, including the possible loss of principal. Past performance, historical results, backtested performance, and published trading history do not guarantee future results.

You should conduct your own research and consider your personal financial circumstances before making any investment decision.

4. Algorithmic Models and Technical Limitations

The Stocks Agent uses proprietary algorithms, software systems, and third-party data sources to generate signals. While we continuously monitor and improve our systems, no algorithm, software, or data source is guaranteed to be accurate, complete, timely, or error-free.

The Stocks Agent does not guarantee that any signal will result in profits or prevent losses.

We reserve the right to modify, replace, retrain, recalibrate, or discontinue any algorithm, model, strategy, or methodology at any time without prior notice. Such changes may affect historical performance comparisons, signal frequency, or future results.

5. Service Availability

We strive to maintain reliable access to our platform; however, we do not guarantee that our services will always be available, uninterrupted, timely, or free from errors.

The service may occasionally be unavailable due to maintenance, technical issues, third-party service failures, cybersecurity events, or circumstances beyond our reasonable control.

We are not responsible for losses resulting from service interruptions, delayed updates, missed signals, or inability to access the platform.

5A. Service Changes and Discontinuation

We are continually improving and evolving The Stocks Agent. Accordingly, we reserve the right, at any time and in our sole discretion, to modify, add, suspend, discontinue, or remove any aspect of the Service, including features, functionality, algorithms, trading signals, supported securities, subscription plans, pricing, or content, with or without prior notice.

We may also suspend or discontinue the Service, in whole or in part, temporarily or permanently, for business, operational, legal, technical, or other reasons.

To the fullest extent permitted by law, The Stocks Agent shall not be liable for any loss, damages, or claims arising from any modification, suspension, discontinuation, or unavailability of the Service or any portion thereof.

If we permanently discontinue a paid subscription service, we may, at our sole discretion or where required by applicable law, provide a prorated refund for any unused prepaid subscription period.

6. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.

You agree not to share your account access, allow unauthorized users to access paid features, or use another person's account.

You must provide accurate information when creating your account and keep your account information current.

7. Subscriptions and Payments

Certain features of The Stocks Agent may require a paid subscription.

By subscribing, you agree to the pricing, billing frequency, and payment terms presented at checkout.

Subscriptions automatically renew unless canceled before the renewal date. You may cancel your subscription at any time, and access will continue through the end of your current billing period.

Unless otherwise required by law, subscription fees are non-refundable.

We reserve the right to change subscription pricing, features, or availability with reasonable notice.

8. Acceptable Use

You agree not to:

• Use the service for unlawful purposes.
• Share, resell, redistribute, or publicly publish paid signals or content.
• Copy, scrape, or systematically collect information from our platform.

Your subscription provides access to use our services; it does not transfer ownership or rights to our technology or intellectual property.

11. Third-Party Services and Links

Our platform may rely on third-party services, including payment processors, data providers, hosting providers, or analytics services.

We are not responsible for the availability, accuracy, or practices of third-party services.

12. Limitation of Liability

To the maximum extent permitted by law, The Stocks Agent, its owners, employees, affiliates, and partners shall not be liable for any losses, damages, or claims arising from your use of the platform, reliance on trading signals, investment decisions, service interruptions, algorithmic errors, technical issues, or market conditions.

You acknowledge that you use our services at your own risk.

13. Indemnification

You agree to defend, indemnify, and hold harmless The Stocks Agent and its affiliates from claims, damages, liabilities, or expenses arising from your use of the service, violation of these Terms, or violation of applicable laws.

Your continued use of The Stocks Agent after changes become effective means you accept the updated Terms.

15. Suspension and Termination

16. Proprietary Content, Subscriber License, and Use Restrictions

The Stocks Agent provides subscribers with access to proprietary information, including but not limited to algorithm-generated trade analysis, market analysis, rankings, scores, reports, research materials, platform features, data, dashboards, signals, historical performance information, and other content made available through the Service (collectively, "Subscriber Content").

Subscriber Content is provided solely for your personal, non-commercial use as part of your authorized subscription. Your subscription grants you a limited, revocable, non-exclusive, non-transferable right to access and use Subscriber Content during your active subscription period.

You acknowledge that Subscriber Content represents proprietary information and intellectual property of The Stocks Agent and may not be used except as expressly permitted under these Terms.

You agree that you will not, directly or indirectly:

• share, distribute, forward, publish, display, post, upload, or otherwise make Subscriber Content available to any third party, whether privately or publicly;
• share screenshots, exports, trade lists, algorithm outputs, reports, signals, rankings, or other subscription-only information through social media, websites, forums, newsletters, chat groups, messaging platforms, or other communication channels;
• provide your account credentials or allow another person to access your subscription;
• resell, sublicense, transfer, lease, or commercially exploit access to the Service or Subscriber Content;
• use Subscriber Content to create, train, improve, validate, operate, or support any competing product, investment service, database, trading tool, or algorithm;
• scrape, crawl, copy, download, extract, or systematically collect data or information from the Service;
• reproduce or redistribute Subscriber Content for commercial purposes.

You may share your personal opinions, experiences, reviews, or general comments about The Stocks Agent. However, you may not disclose or distribute proprietary Subscriber Content obtained through your subscription.

Enforcement and Account Suspension

The Stocks Agent reserves the right to investigate suspected misuse of Subscriber Content and may suspend or terminate accounts that violate these restrictions.

Examples of violations include, but are not limited to:

• posting subscription-only trades publicly;
• sharing premium content with non-subscribers;
• operating shared accounts;
• redistributing algorithm outputs;
• using the Service to build a competing offering.

Termination or suspension resulting from violation of this section does not entitle you to a refund or credit.

Ownership

All rights, title, and interest in and to the Service and Subscriber Content, including all software, algorithms, models, methodologies, analysis frameworks, data structures, and related intellectual property, remain the exclusive property of The Stocks Agent or its licensors.

Except for the limited subscription rights expressly granted under these Terms, no ownership rights or intellectual property rights are transferred to you.

17. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.
